Vantli Terms of Service

These Terms of Service ("Terms") govern your use of Vantli, a task and project management application built around a structured approach to capturing, organizing, and reviewing your tasks and commitments (the "App" and, together with our website, the "Service"). The Service is operated by Itemizer LLC ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms.

Accounts

You need an account to use Vantli. You're responsible for keeping your login credentials secure and for all activity under your account. Let us know right away at support@vantli.app if you suspect unauthorized access.

You must be at least 13 years old to use Vantli. The Service is not directed to children under 13.

Plans and billing

Vantli offers a Free plan (up to 3 active projects and 25 open tasks) and a Paid plan at $7/month or $70/year. There is no free trial on Paid, the Free plan has no time limit. Paid subscriptions are billed in advance and renew automatically until canceled.

You can cancel anytime from Settings, no phone call or email required. You'll keep Paid features through the end of your current billing period, and no partial-period refund is issued for a mid-cycle cancellation. Outside of that, reach out to support@vantli.app and we'll take care of you.

If you subscribe through Apple's in-app purchase instead of directly, billing, renewal, and refunds for that subscription are handled by Apple under Apple's own terms, not these Terms.

If you go over the Free plan's limits (for example by downgrading from Paid), you keep everything you've already created, but you won't be able to add a new project or task past those limits until you free up room or upgrade.

Your content

You own the tasks, projects, contexts, notes, and files you create or upload in Vantli ("Your Content"). You grant us a limited license to store, process, and display Your Content solely to provide and improve the Service. We don't use Your Content for advertising or sell it, see our Privacy Policy for how we handle it.

You're responsible for Your Content and for having the rights to anything you upload or connect to Vantli.

Connected third-party accounts

Vantli lets you optionally connect accounts like Gmail, Outlook, or Microsoft Planner for email-based capture and task sync. These integrations are one-directional imports into your Vantli inbox or task sync, we don't take actions in those services on your behalf beyond what a feature explicitly describes. Your use of any third-party service you connect is governed by that service's own terms, we're not responsible for their availability, accuracy, or conduct. You can disconnect a linked account anytime from Settings.

Acceptable use

You agree not to:

• Use the Service for anything unlawful or to violate others' rights
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service
• Resell or provide the Service to third parties without our written consent
• Upload malicious code or attempt to overload our infrastructure

Termination

You can stop using Vantli and delete your account anytime from Settings. We may suspend or terminate an account that violates these Terms, with notice where reasonably possible. If your account is terminated, your right to use the Service ends, and Your Content is deleted per our Privacy Policy's retention terms.

Disclaimer and limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that it will meet your specific needs.

To the fullest extent permitted by law, Itemizer LLC won't be liable for any indirect, incidental, or consequential damages arising from your use of the Service, and our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you through the app or by email. Continuing to use the Service after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
